Job Description
To provide board and company secretarial and administrative support to allocated subsidiary company boards and board and management committees. The role is critical in supporting committee members on governance matters, enabling the effective and efficient functioning of boards and committees through the application of appropriate governance standards. The role also assists in ensuring compliance with applicable statutory, regulatory, and corporate governance requirements.
Qualifications
Qualifications and Experience Required
- Bachelor of Laws.
- 2-3 years’ experience in corporate governance, company secretarial support, legal, or board administration.

Key Job Functions
- Coordinate, review, and circulate board and committee packs via the board reporting system, ensuring timely, accurate, and effective meetings.
- Draft and review board and committee minutes, action trackers and matters arising.
- Manage director onboarding, induction and training programmes, and board evaluations ensuring alignment with subsidiary governance frameworks, the Companies Act, Malawi Stock Exchange Listing Requirements, any applicable legislation and regulations, and corporate governance best practices.
- Provide end‑to‑end secretariat support to the Group Board and selected subsidiary boards and committees, maintaining governance best practices.
- Research, review, and advise on Non‑Executive Director remuneration, ensuring alignment with banking sector best practice.
- Conduct governance research and benchmarking to inform advisory and secretarial services.
- Review and coordinate statutory accounts to ensure compliance with Companies Act requirements.
- Identify governance gaps and deliver clear analysis and recommendations to support continuous improvement.
- Liaise with directors, executive management, internal and external stakeholders, and regulators on governance related matters
