VACANCY : LEGAL AFFAIRS MANAGER
Applications are invited from suitably qualified candidates to fill the position of Legal Affairs Manager for TotalEnergies Marketing Malawi Limited. This position is tenable at the Head Office in Blantyre.
JOB PURPOSE
Managing all legal affairs of TotalEnergies Marketing Malawi Limited in line with all relevant laws and policies in force.
JOB DIMENSIONS
  • Managing the legal risks of TotalEnergies Marketing Malawi Limited
  • Managing and liaison with external counsels
  • Managing and controlling the company’s legal expenses
  • Managing all litigations together with Zonal legal support
  • Follow up and review of all contracts as well as maintain contract files.
  • Monitoring compliance with all legislative provisions
  • Implement Compliance program as the Company’s Compliance Officer
  • Implement Sanctions program as the Company’s Sanctions Referent
ACTIVITIES
  1. Drafting and reviewing commercial agreements
  2. Research, anticipate and guard company against legal risks
  3. Guide managers and ensure compliance with rules and regulations
  4. Structure, draft and review reports and other legal documents
  5. Provide a professional, quality service in a timely manner, and respond effectively to requests from clients
  6. Attend court hearings with external lawyers
  7. Register land leases, maintain and keep record of all land documents
  8. Develop and maintain an effective filing system / file tracker for all legal matters and documents being actively handled both internally and by external counsel
  9. Perform due diligence for onboarding business partners as Compliance Officer
  10. Follow up and track conflict of interest declaration by employees
  11. Liaise with external lawyers for all legal matters
  12. Liaise with relevant government ministries and departments regarding all legal administrative matters
  13. Prepare and organize quarterly legal report briefing to management
  14. Prepare annual legal cost reporting for Head office
  15. Prepare a monthly brief to management for all legal risks or loopholes noted
  16. Organize regular compliance briefing for employees and partners and present during meetings
  17. Keep an updated register of contracts and ensure safe and properly organized storage of hard copies of all contracts
  18. Perform related duties/activities as directed or assigned by management
  19. Implement and monitor the Compliance and Economic Sanctions programs
  20. Provide legal advice to the company’s management / departments, in conjunction with external counsel where appropriate, on the legal procedures to follow in line with the relevant laws in force
  21. Model adherence to anticorruption, antibribery, economic sanctions, and competition laws.
  22. Plan, book and follow up on all mandatory training for staff with Head Office.
  23. Ensure that all certificates and licenses for skill-based activities where relevant, are kept up to date.
  24. Maintain the company up-to-date on regulatory compliance and stay informed on legal or policy changes affecting the company’s operations and informing management of the same.

ACCOUNTABILITIES
The incumbent shall ensure overall legal compliance of TotalEnergies Marketing Malawi Ltd. They shall liaise with Head Office and external counsel on all legal matters. He or she shall functionally report to the Finance and Administration Manager.
QUALIFICATIONS & EXPERIENCE
  • Bachelor of Laws (Honours) degree and Certificate of admission to the Malawi Bar.
  • Minimum of 10 years post-bar experience and an up to-date practicing license.
  • Management qualifications and membership to relevant professional associations shall be an added advantage
  • Demonstrable knowledge of Competition Law, Corporate and Commercial Law, Property Law, Regulatory Law and Litigation are essential
  • Working knowledge of Tax Law, Environmental Law, Employment Law and knowledge of the Oil Industry shall be an added advantage
  • Critical skills include strong technical legal skills, excellent communication skills, ability to influence, negotiation skills, ability to lead and be part of a team and well developed interpersonal skills.
