Electricity Generation Company (Malawi) Limited (EGENCO) is a leading power generation company committed to providing reliable and sustainable electricity to drive Malawi’s economic growth. As part of our strategic expansion, we seek a dynamic and results-oriented professional to join our executive team as Director of Legal Services and Company Secretary (Grade EG2). This is a three-year fixed-term contract, based at EGENCO’s Head Office in Blantyre.
THE ORGANIZATION
EGENCO is a limited liability company incorporated under the Companies Act (Cap.46:03) of the Laws of Malawi on 7th September 2016. The company is wholly owned by the Government of Malawi and was established with the mandate of generating electricity in Malawi. It started its operations on 1 January 2017.
PURPOSE OF THE JOB
The position exists to provide legal protection through litigation and enforcement of compliance with applicable laws, regulations and internal policies so that the company avoids economic losses and maintains its corporate standing and to conduct corporate governance/company secretarial work for EGENCO.
The Director of Legal Services and Company Secretary is responsible for effectively leading the provision of legal advice to the company and; managing and controlling the Legal affairs division of the company.
PERSON SPECIFICATIONS
- Must be a holder of both a Bachelor’s Degree in Law and a Master’s Degree in Law from a University recognized by National Council for Higher Education.
- Must have a valid legal Practitioners license and be a registered member of the Malawi Law Society.
- Must have at least 10 years of relevant experience, with 5 years in Executive or Senior Management Leadership level in a busy organisation.
- Must be mature with demonstrable ability to work as a company secretary.
- Excellent strategic thinking, decision-making, and leadership skills.
- Must have strong analytical and problem-solving skills.
- A team player and results oriented with extensive knowledge of corporate governance and management skills.
- Must have excellent interpersonal skills.
- Be of high integrity, and have excellent negotiating skills.
- Must be proficient in MS office and other relevant computer applications,
- Applicants with experience in the Power Generation industry will have an added advantage.
JOB SPECIFICATIONS
Reporting to Chief Executive Officer, the Director of Legal Services and Company Secretary will among other responsibilities responsible for:
- Guiding and overseeing the overall legal services function in line with the company’s set goals, policies and strategies.
- Performing the role of legal counsel to the company and representing the company in court proceedings and actively participating in negotiations for major projects.
- Ensuring the company’s compliance with all the requirement of the Company’s Act of the laws of Malawi as well as other statutes and any other legal requirement relevant to the company’s operations and business.
- Representing, directing and guiding the legal services in the company’s strategic planning process and handling activities related to the induction of Board Directors to the company’s mandate, mission and vision including the overall conduct of the Boards of Directors individually and as an institution.
- Drafting, reviewing and negotiating legal instruments such as contracts, licenses and other agreements on behalf of the company
- Managing and liaising with the Company’s external legal counsel and ensuring professional handling of all litigation and other matters in which the retained lawyers have been instructed.
- Maintaining a database of the status of compliance in all regulatory matters affecting the company
- Ensuring that EGENCO complies with all policies, laws, statutes and regulations as it undertakes all its activities.
- Conducting company secretarial duties by preparing and attending Board and Committee meetings and other related matters which includes preparing minutes of all meetings in good time, keeping and maintaining minute books, registers and seals.
- Performing all duties of a Board Secretary
- Developing accountability structures, overseeing periodic reporting and projects and monitoring the performance indicators of the division.
- Cascading the divisional scorecard into executable deliverables for all positions within the division to ensure maximum execution of divisional mandate with assigned accountability.
- Carrying out any other assignments and duties as the Chief Executive Officer or the Board may direct from time to time.
