Job Title:                 Board Members

Reporting to:          Board Chairperson 

Background

Center for the Development of People (CEDEP) is a registered human rights organization dedicated to promoting the rights of minorities such as Lesbians, Gays, Bisexuals, Transgender, Intersex (LGBTI) and sex workers through civic education, training, capacity building, networking and research. CEDEP will clock 20 years in existence in 2026. CEDEP is currently one of the best run and managed local non-governmental organizations (NGO) in Malawi.

CEDEP is seeking to recruit suitably qualified and experienced Malawians for the position of Board Members to replace retiring members. CEDEP is looking for professionals with high integrity and professionalism to be part of the team of the Board of Trustees.

Specific Responsibilities and Duties:

The Board member will support the work of CEDEP and provide mission-based leadership and strategic governance. Board Members will have the following duties and responsibilities:

  1. To manage and run the organization as part of the Board of Trustees thereby managing the affairs of CEDEP from policy perspective.
  2. To run and manage CEDEP and make sure the organization operates in line with Laws of Malawi such as the Trustees Incorporation Act, Non-Governmental Organizations Act and all related laws.
  3. To run and Manage CEDEP as non-governmental organization (NGO) in line the Constitution of the Registered Trustees of the Center for the Development of the People (CEDEP).
  4. To recruit and appoint professional staff members of the organisation such as Executive Director, Managers, and other staff members of the secretariat and to do all such other lawful things as in the opinion of the Trustees may be requisite and necessary for the effective management of the organization so as to give effect to its objective.
  5. To determine the financial expenditure estimates of the organisation for each year and the programme for implementing the objects set out in the Constitution.
  6. To appoint Auditors, Lawyers and related service providers of the organisation.
  7. To determine membership of the organisation locally, regionally and internationally.
  8. To determine and review the policies of the organisation having regard to its purposes and functions as set out in the Constitution;
  9. To appraise and evaluate the performance of the Secretariat and to determine their levels of remuneration and other conditions.
  10. To appoint or constitute such Sub Committees subordinate to the board to exercise or carry out any of the powers, functions and duties vested in the Board for and on behalf of the Board.
  11. To make sure the organization is managed and run professionally in line with internal policies, donor requirements and professional standards.

Board Members are custodians of the organization and, therefore, they have a high standard fiduciary duty to make sure the organization is run professionally in line with Laws of Malawi, Donor Requirements and International Standards.

 Board terms/participation

CEDEP recently adopted a New Constitution. CEDEP Board Members will serve a three-year term to be eligible for re-appointment for one additional term. Board meetings will be held every four months and committee meetings will be held as instructed by the Board of Trustees.

Qualifications

CEDEP Board of Trustees is looking for activists, human rights defenders, human rights practitioners, lawyers, economists, business/public administration practitioners, human resource practitioners, civil society practitioners, resource mobilization practitioners, researchers, doctors, public health practitioners, nurses, development and grant resourcing practitioners, LGBTIQ+ community members, marketers but working or practicing at leadership level and with experience in serving in the board or willing to serve in the board.

Applicants should have Bachelor’s Degree with 10 year experience, Master’s Degree with 5 year experience in leadership level in organization especially donor funded organizations. Those with PHDs will have an added advantage.

Service on CEDEP Board of Directors is voluntary and there are no benefits like gratuity or pension. However, Board Members are paid reasonable allowances and honorariums based on laws of Malawi and internal policies in line with non-profit making organization guidelines.
