Smile Life is currently inviting applications from suitably qualified and experienced individuals to fill the key position of Legal Advisor / Company Secretary.

LEGAL ADVISOR / COMPANY SECRETARY

This is a newly established position within the company and the incumbent will work as part of executive management as well as Secretary to the Board.

CORE RESPONSIBILITY

The Legal Advisor / Company Secretary will provide expert legal guidance, ensure regulatory compliance, and serve as the primary liaison between the Board of Directors and Management. The position is charged with safeguarding the company’s legal interests and acts as the Board Secretariat, ensuring that the Board of Directors operates effectively, complies with statutory obligations and maintains high standards of corporate governance.

KEY RESULT AREAS

Board Secretariat and Corporate Governance: Preparation of Board and Committee meetings paper packs and circulating them to the Directors, preparation of minutes of the Board and committee meetings, liaising with Management on follow up of matters as necessitated by the decision of the board and / or Board Committees, Board communication and liaison, legal advisory services, regulatory and compliance management, policy development and record management, stakeholder engagement, and litigation.

KEY COMPETENCIES AND ATTRIBUTES

The position requires a highly motivated, proactive, and detail-oriented professional who can provide expert and legal guidance while ensuring robust corporate governance. The role demands a person with the ability to anticipate legal and regulatory issues, manage compliance effectively and support the Board in its oversight responsibilities. The role also requires ability to anticipate governance issues, provide timely advice to the Board and maintain high standards of corporate administration.

REQUIRED QUALIFICATIONS AND EXPERIENCE

The ideal candidate will possess the following qualifications and experience:

  • Bachelor of Laws (LL.B) from a recognised institution;
  • Admission as a Legal Practitioner / Advocate in Malawi (or equivalent jurisdiction).
  • Professional certification such as Chartered Secretary (ICSA / CGI) is highly desirable.
  • A Master’s Degree in Law, Business Administration, or a related field is an added advantage.
  • Membership with the Malawi Law Society (MLS).
  • Minimum of five (5) years in a senior legal or company secretary role, providing support to the Directors.
